WarpGear received this letter from Pantone: We are writing to you from the Licensing Department at Pantone, Inc ("Pantone"). We have recently learned that WarpGear Software (the "Company") has been offering on its Web site www.warpgear.com (the "Website") a freeware product titled "Pantone Color Look up" (the "Product"), utilizing and/or reproducing and/or referencing colors from the PANTONE MATCHING SYSTEM (the "Pantone Property"). As you are most likely aware, the Pantone Property was created and developed by Pantone for the selection, specification and control of colors. Pantone has invested significant creative and financial resources in developing the Pantone Property, and has well-established copyright and trademark rights in the selection and arrangement of the creative content comprising the Pantone Property. In addition, Pantone has invested significant resources in advertising its products to existing and potential customers under its marks PANTONE, PMS and other marks used in and designating the Pantone Property, including the designators for the components of such property. As a result, the Pantone Property has become recognized in the marketplace as an exclusive product of Pantone. Pantone's intellectual property rights relating to the Pantone Property represent enormous good will, belonging exclusively to Pantone, and are extremely valuable assets of Pantone. Pantone permits certain usages of the Pantone Property and/or its trademarks pursuant to written license agreements.
